UPL reported weaker than expected growth revenue growth of 2.6% yoy (vs expectation of 8.2% growth) to Rs 9126 cr due to a sharp fall of 8.4% yoy in revenues from Latin America due to a negative forex impact and a delayed agricultural season. Overall, volume growth of 7% yoy and pricing improved by 1% (first quarter of positive price movement since Q1 FY21) partially offset a 5% negative forex impact (currency devaluation in Latin American countries).

UPL denies that the whistleblower is a member of the board reported in the news article as these allegations were discussed and investigated by the Audit Committee and the Board in 2017/2018. The WhistleBlower Committee undertook a detailed review including each related party transactions with the help of independent law firms and had concluded two and half years back that those transactions were at arm’s length and in compliance with applicable laws.
Kotak says UPL has witnessed its third governance related issue in CY2020, as an unauthenticated media article pointed out a whistleblower complaint suggesting siphoning of funds by the promoters, which was filed in June 2017 but not disclosed earlier by the company. Earlier in January 2020, there was a search conducted by the income tax department in the company’s premises and recently it was asked to file IT returns for the past six years. Subsequently in October 2020, the statutory auditor of UPL Corp., a material subsidiary based out of Mauritius for overseas business, tendered resignation.
