Auto components major SKF India has announced the record date for its much-awaited demerger of the industrial business. The company said that the process has been completed and shares of the new entity will soon trade separately on the BSE and NSE.

SKF India, part of the global Swedish SKF Group, is a leading manufacturer of automotive and industrial engineered solutions, including bearings, seals, and lubrication systems, with operations dating back to 1923.

1. Demerger takes effect from October 1, 2025

SKF India confirmed that the demerger of its industrial business became effective on October 1, 2025, following approval from the National Company Law Tribunal (NCLT), Mumbai Bench. The scheme was earlier approved by the company’s board in late 2024 and later cleared by shareholders and regulators.

2. Record date fixed for October 15

In a regulatory filing on October 2, the company said the record date for the demerger has been fixed as October 15, 2025. This means shareholders holding SKF India shares as of that date will be eligible to receive shares of the new entity.

3. Share swap ratio

Under the approved demerger scheme, shareholders of SKF India will receive one share of SKF India (Industrial) Ltd for every share held in SKF India on the record date.

4. Separate listing expected by November

The shares of SKF India (Industrial) Ltd will list separately on BSE and NSE, with the company expecting the listing to take place by November 2025. A formal announcement regarding the listing date will be made after the record date.

5. Focus areas of the two entities

Post-demerger, SKF India Ltd will continue to focus on the automotive segment, while the newly formed SKF India (Industrial) Ltd will target growth in manufacturing, railways, renewables, cement, mining, metals, and heavy industries.
