5:1 Bonus Issue: Autoriders International has approved bonus share issue for its shareholders. The company's board approved a bonus share issue in a 5:1 ratio (5 bonus shares for every 1 share held).

The company informed stock exchanges on Monday that shareholders will receive five fully paid-up bonus equity shares of Rs 10 each for every one equity share held.

A bonus issue is the distribution of additional free shares by a company to its existing shareholders. The new shares are given in proportion to the number of shares an investor already owns. In case of 5:1 bonus issue, a shareholder receives five extra share for every share they hold.

The company said the bonus allotment will be treated as an increase in its paid-up share capital. The issue will be carried out through the capitalization of funds from the securities premium account, free reserves or other eligible reserves.

Record date fixed

The Board has fixed 18 November 2025 as the record date to determine eligible shareholders. Those whose names appear on the register of members on that day will receive the bonus shares credited as fully paid-up.

Autoriders International added that the bonus shares will rank pari passu with existing equity shares in all respects. The allotment will apply to shareholders recorded as of 18 November, while the existing shares as of 17 November will form the basis of parity.

Financial performance

The company reported a decline in profitability in the September 2025 quarter. Net profit fell 10.82 per cent to Rs 2.39 crore, compared with Rs 2.68 crore in the same period last year.

However, sales grew 11.64 per cent to Rs 24.64 crore in Q2FY26, up from Rs 22.07 crore in Q2FY25.
