Kotak Mahindra Bank has signed an agreement to acquire Deutsche Bank India's retail, private banking and wealth management business.

Shares of Kotak Mahindra Bank are likely to remain in focus on Wednesday, July 1, after the private sector lender signed a Business Transfer Agreement (BTA) with Deutsche Bank Aktiengesellschaft (DBAG), acting through its India branch, to acquire its retail banking, private banking and wealth management business in the country.

The agreement, signed on June 30, values the transaction at approximately Rs 281.7 crore, according to a regulatory filing made after market hours on Tuesday.

Acquisition to strengthen affluent banking business

Kotak Mahindra Bank said the proposed acquisition would bring an established customer base, experienced relationship managers and a well-developed banking franchise under its fold.

The lender believes the transaction will help accelerate growth in its affluent, wealth management and SME banking businesses by leveraging Deutsche Bank India's existing customer relationships and distribution network.

As of March 31, 2026, the business being acquired had advances of around Rs 29,000 crore and deposits of nearly Rs 16,000 crore.

Entire consideration to be paid in cash

The bank said the entire purchase consideration of Rs 281.7 crore will be paid in cash. However, the final amount remains subject to adjustments as specified under the terms of the Business Transfer Agreement.

The proposed acquisition is expected to be completed by September 2027, subject to the fulfilment or waiver of customary conditions and receipt of all necessary regulatory approvals.

The transaction will require approvals from the Competition Commission of India (CCI), the National Securities Depository Limited (NSDL) and the Central Depository Services (India) Limited (CDSL) for the transfer of Deutsche Bank India's depository business, besides any other approvals that may be required.

Kotak Mahindra Bank clarified that the acquisition is not a related-party transaction.

Separate arrangements for investment services

Alongside the acquisition, Kotak Mahindra Asset Management Company (Kotak AMC) and Kotak Alternate Asset Managers Ltd. (KAAML), both wholly owned subsidiaries of the bank, have entered into non-binding term sheets with Deutsche Investments India Private Ltd. (DIIPL).

The proposed arrangements relate to the referral of clients for Portfolio Management Services (PMS) and investment advisory services.

The bank said definitive agreements between DIIPL, Kotak AMC and KAAML are yet to be signed, and further disclosures will be made once those agreements are executed.

Stock performance

Kotak Mahindra Bank shares ended Tuesday's trading session 0.82 per cent lower at Rs 392.25 on the National Stock Exchange. The acquisition announcement was made after the market closed and is likely to keep the stock in focus when trading resumes on Wednesday.

Over the past week, the stock has declined by more than 1 per cent, while it has gained around 3 per cent over the last one month. On a year-to-date basis, however, the shares are down 11 per cent.

The stock touched a 52-week high of Rs 453.20 on October 20, 2025, and fell to a 52-week low of Rs 345.50 on April 2, 2026.

Kotak Mahindra Bank has a market capitalisation of around Rs 3.94 lakh crore.
